These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User") and Ironwood Leadership Advisory ("ILA," "we," "us," or "our") governing your access to and use of ILA's online assessment products and related services (collectively, the "Service").

By purchasing, accessing, or using any Assessment(s) offered through ILA, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not purchase or use the Service.

ILA reserves the right to update or modify these Terms at any time. Continued use of the Service following any such changes constitutes your acceptance of the revised Terms.

All sales for Assessment(s) offered by Ironwood Leadership Advisory (ILA) are final. Due to the digital nature of our assessment materials, no refunds, credits, or exchanges will be issued once payment is completed, regardless of whether the assessment has been initiated or completed.

Every user accessing Ironwood Leadership Advisory's (ILA) online products agrees to the following:

1. Provide accurate and up-to-date information during registration and throughout your use of the Service.

2. Maintain the confidentiality of your account and password, and assume responsibility for all activities that occur under your account.

3. Comply with all applicable laws and regulations in your use of the Assessment(s).

4. Ensure the safekeeping and appropriate use of the assessment materials.

5. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Assessment(s) or assessment materials without the express written permission of Ironwood Leadership Advisory (ILA). You further agree not to reverse engineer, decompile, or otherwise attempt to extract the underlying methodology or content of any Assessment(s).

Ironwood Leadership Advisory (ILA) operates under the following limitations of liability and disclaimers:

1. We do not guarantee the accuracy, completeness, or usefulness of any assessment results or content provided through our platform. Your results solely rely on the accuracy of your answers to the assessment questions.

2. The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

3. Ironwood Leadership Advisory (ILA) shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from:

a. The use or inability to use the Service.

b. Unauthorized access to or alteration of your transmissions or data.

c. Any other matter relating to the Service.

4. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

5. Any content downloaded or otherwise obtained through the use of Ironwood Leadership Advisory (ILA)'s assessment service is accessed at your own discretion and risk. You will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.

6. Ironwood Leadership Advisory (ILA) makes no warranties regarding any goods or services purchased or obtained through the Service or any transactions entered into through the Service.

7. ILA's total liability for any claims related to your use of our Assessment(s) shall not exceed the amount you paid for the Assessment(s) at issue, and ILA is not liable for any indirect, incidental, special, consequential, or punitive damages of any kind.

All content, materials, methodologies, and assessment instruments provided through Ironwood Leadership Advisory (ILA) are the intellectual property of their respective owners and are protected by applicable copyright, trademark, and other intellectual property laws. ILA distributes these Assessment(s) under license and makes no claim of ownership over the underlying materials. No ownership rights are transferred to you by virtue of your purchase or use of any Assessment(s). You are granted a limited, non-exclusive, non-transferable license solely for your personal use of the Assessment(s) purchased.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Texas.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

These Terms constitute the entire agreement between you and ILA with respect to the subject matter herein and supersede all prior or contemporaneous communications, whether electronic, oral, or written.

Failure by ILA to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
